1. Agreement to Terms

Tantalum AI provides pay-per-lead auto finance lead generation services. We deliver pre-qualified, TCPA-compliant auto loan leads to lenders, credit unions, banks, and finance companies. Our services include lead generation, qualification, and delivery for auto refinance, new purchase loans, sub-prime loans, EV/Tesla refinance, and cash-out refinance.

We pre-qualify all leads before delivery based on criteria including:

• Credit score (minimum 580+ FICO or custom filters as agreed)
• Income verification
• Loan amount and intent
• Geographic location (if specified)
• Vehicle type and loan category

We reserve the right to adjust qualification criteria to ensure lead quality. If delivered leads consistently fail to meet agreed standards, we will work with you to address the issue and may pause delivery until resolved.

5. TCPA and Compliance

All leads are generated through TCPA-compliant methods with proper consent. We maintain detailed consent records and follow FCC regulations. However, you are responsible for ensuring your own compliance with all applicable laws, regulations, and industry standards when contacting leads. Tantalum AI is not responsible for any violations of law by you or your representatives.

7. Refund and Replacement Policy

We stand behind the quality of our leads. If a delivered lead does not meet our agreed qualification criteria, we will review and replace it promptly. Refund requests will be considered on a case-by-case basis for leads that clearly fail to meet our standards. Refunds are not available for leads that were qualified but did not convert to a loan.

8. Exclusive Leads

We guarantee that all leads delivered to you are 100% exclusive. Each lead is sold to only one lender (you). We do not share, resell, or distribute leads to multiple lenders. This exclusivity ensures maximum conversion rates and protects your investment.

9. Use of Leads

You agree to:

• Use leads only for legitimate business purposes related to auto financing
• Comply with all applicable laws, including TCPA, CAN-SPAM, and state regulations
• Not resell, share, or transfer leads to third parties
• Contact leads in a professional and compliant manner
• Respect opt-out requests from leads
• Maintain appropriate data security measures

All content, trademarks, logos, and intellectual property on our website and in our services are the property of Tantalum AI or its licensors. You may not use, reproduce, or distribute any content without our prior written permission.

11. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that leads will result in funded loans, that leads will respond to your contact attempts, or that leads will meet your specific underwriting criteria beyond the agreed qualification standards.

12. Limitation of Liability

To the maximum extent permitted by law, Tantalum AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of our services.

13. Indemnification

You agree to indemnify, defend, and hold harmless Tantalum AI and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of our services, violation of these Terms, or violation of any applicable laws or regulations.

14. Termination

Either party may terminate services at any time with written notice. Upon termination, you will remain responsible for payment of all leads delivered prior to termination. We reserve the right to suspend or terminate services immediately for breach of these Terms or non-payment.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or our services shall be resolved through binding arbitration or in the courts of competent jurisdiction.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with any written agreements or addendums signed by both parties, constitute the entire agreement between you and Tantalum AI regarding our services and supersede all prior agreements and understandings.
